Schneider Electric Agrees €70-a-Share Shelly Takeover Plan

Schneider Electric has agreed a plan to acquire Bulgarian smart-device maker Shelly Group, with an intended cash offer of €70 per share, Reuters reported on 24 September.

Shelly said the proposal values the company at approximately €1.2 billion. Its two founding shareholders, who together hold about 57% of its shares, support the transaction.

The deal would bring Shelly’s smart-home and building-automation technology together with Schneider’s energy-management expertise and international reach. Shelly said the proposed combination would preserve its organisation and workforce in Bulgaria.

Completion is not guaranteed. The plan requires regulatory approvals and a minimum acceptance threshold that would leave the bidder holding at least 95% of Shelly’s share capital.

At the time of its announcement, Shelly said no formal offer had been registered or published. The offer document must be cleared by Bulgaria’s Financial Supervision Commission before publication.

Subject to the conditions being met, closing is expected by the first quarter of 2027. Schneider also intends to pursue full ownership and a possible delisting if the offer succeeds, subject to applicable law and approvals.
